YVE DIGITAL – TERMS & CONDITIONS

Effective Date: Upon registration on yvedigital.com or upon signing a hard copy

These Terms & Conditions (“Terms”) govern the use of Yve Digital Solutions Ltd.’s digital distribution services.

By registering or submitting content, you (“Client”, “Artist”, “Label”) agree to be bound by these Terms.

1. Background

We employ the use of cookies. By using YVE Digital's website you consent to the use of cookies in accordance with YVE Digital's privacy policy.

Yve Digital provides global digital music distribution services. By accepting these Terms, you appoint Yve Digital as the exclusive distributor of your submitted content during the Term.

2. Distribution Rights

• Exclusivity: Yve Digital has the exclusive worldwide right to distribute your content during the Term.
• Partner Delivery: We deliver your content to DSPs such as Spotify, Apple Music, Boomplay, YouTube, etc.
• Territory: Worldwide.
• Physical formats not included.
• Client cannot contact DSPs directly

3. Marketing

• Marketing placements are not guaranteed.
• Client must provide artwork, photos, bios, etc.
• Optional paid marketing is available.

4. Content Delivery

• Client must upload final, cleared, properly formatted content.
• $10 fee per track for post-submission changes.
• Copyright infringement takedowns may incur $10 per track + legal costs.

5. Term & Termination

• 1-year term, auto-renews unless written notice is given 15 days before renewal.
• Termination requests: [email protected].
• Takedowns after termination may take time across DSPs.

6. Royalties & Payments

• 90% DSP royalties; 80% YouTube revenue for channels under Yve Digital.
• $50 minimum payout threshold.
• Monthly payments (May, Aug, Nov, Feb).
• Client must send invoice/payment request.
• Client is responsible for paying producers, collaborators, publishers, etc.

7. Intellectual Property

• Client warrants full ownership and grants Yve Digital rights for distribution and marketing.
• Client indemnifies Yve Digital for any IP-related claims.

8. Breach & Disputes

• Either party may terminate for breach (30-day cure period).
• Immediate termination for fraud, legal violations, or harmful actions.
• Royalties may be frozen during disputes.

9. Non-Solicitation & Confidentiality

• Client may not solicit partners or clients during the Term.
• Confidentiality obligations survive termination.

10. General

• Force Majeure applies.
• Governing Law: Ghana.
• Notices sent to emails/addresses provided.
• Amendments may be issued via written or online updates.
• Invalid clauses do not affect the remaining terms.

11. Acceptance

By registering, Client agrees to all Terms & Conditions.
