A. Background
YVE Digital is a digital music aggregator and distribution company that delivers sound recordings to various digital service providers (DSPs) worldwide. This Agreement grants YVE Digital the right to distribute, license, and promote the Client’s content to DSPs in exchange for a share of the revenue.
B. Grant of Rights
1. Exclusivity
The Client grants YVE Digital the exclusive right to distribute and monetize the
submitted content (“Client Content”) globally for the Term of this Agreement. The Client
shall not distribute the same content through other platforms without prior written
consent.

If selected, the Client appoints YVE Digital as a sub-publisher for the submitted works,
subject to additional terms.
C. Term and Termination
1. Term
This Agreement shall commence on the effective date and remain in force for a minimum of
one (1) year, automatically renewing unless either party gives written notice at least
15 days before the renewal date.
2. Termination by Either Party
After the initial one-year term, either party may terminate this Agreement by providing
written notice. YVE Digital shall initiate takedown of Client Content from all platforms
within 60 days of termination.
3. Survival of Rights
Royalties earned from content still hosted or monetized post-termination will be
accounted for and paid during the normal cycle, until content is fully removed.
D. Content Delivery and Management
1. Content Submission
The Client shall upload content through YVE Digital’s dashboard in accordance with
technical specifications. A submission fee may apply per release.
2. Content Standards
YVE Digital may reject content for suspected copyright violations, poor metadata, or
low-quality files. YVE Digital and its Partners may modify metadata (e.g., genre or
artist name) as needed.
3. Takedowns and Errors
Corrections post-submission may incur a fee. Takedowns due to Client-side copyright
issues will incur a per-track fee and potential legal liabilities.
E. Marketing & Promotion
Marketing placements (e.g., editorial features or homepage banners) are not guaranteed. YVE Digital may offer optional paid promotional packages. The Client may also provide promotional materials for YVE Digital’s use.
F. Royalties and Payments

Royalties are paid monthly once the Client’s account balance exceeds $50 USD. Any unpaid
balances roll over to the next quarter.
3. Payment Methods
Payouts are processed via PayPal, Wire Transfer, Mobile Money (For African Users only).
Transfer fees may apply and will be deducted from the payout amount.
4. Invoicing Requirement
The Client must issue an invoice or payment request via the dashboard. No payments will
be processed without such requests.
5. Third-Party Obligations
The Client is solely responsible for paying collaborators, producers, publishers, and
any third-party rights holders.
G. Intellectual Property & Warranties

H. Additional Services
Optional services such as music publishing, YouTube Content ID, sync licensing, marketing, mastering, and video production are available under separate agreements. Contact YVE Digital for details.

By registering online or signing this agreement, the Client acknowledges and agrees to all terms outlined herein.
This Agreement shall be deemed to have been made in the State of Delaware, without regard to its conflict of laws provisions, and its validity, construction, performance and breach shall be governed by the laws of the State of Delaware, U.S.
